These are the terms of the ChannelOS partner program, version 1.0, effective 1 August 2026. They are published in full before you join, and the summary on the partner program page is written from this document. If the two ever disagree, tell us and we will fix the page.
1. Who this is between
ChannelOS ("we", "us") is a digital-signage service at channelos.tv, operated as a sole proprietorship by James Christian at F-501, Takshshila Mahadev Green, CTM, Ahmedabad, Gujarat, India. "You" is the individual or business who applied to the partner program and to whom we issued a partner code. You must be 18 or over. Current ChannelOS employees may not be partners.
You are an independent contractor. Nothing here makes you our employee, agent, franchisee or distributor, gives you authority to bind us, or lets you speak for us. You may not sign anything, promise anything or accept money on our behalf.
2. Joining, and your partner code
- Joining is free. There is no joining fee, registration fee, deposit, training fee, kit charge or minimum purchase, and there never will be. If anyone asks you to pay ChannelOS to become or stay a partner, they do not work for us.
- You apply through the form on the partner program page. We read it and issue a partner code and a referral link, usually within 2 working days. We may decline an application without giving a reason.
- Your code is personal to you. Do not share it with someone else to use as their own, and do not run it under a second identity.
- We ask for your PAN and your bank details before your first payout, not when you apply.
- An existing ChannelOS customer may be a partner and earn on other businesses they introduce. You never earn on your own account: see clause 11.
3. What you earn
- 20% of the commission base for a referred customer's first 12 months, counted from that workspace's first successful payment to us.
- 10% every year after that, for as long as that customer keeps paying. There is no end date and no cap.
- The rate is flat within each period. There are no volume tiers, no bonus rungs and no contests, and we will not raise the rate for volume.
- There is no payment for a signup, a click, a lead, a free account or a trial. If nobody you introduce ever pays us, you earn nothing, and you will never have paid us anything either.
- We do not promise earnings. The percentages above are the whole offer. What you actually earn depends entirely on how many businesses you introduce and whether they keep paying, and we have no way to predict that for you.
"First 12 months" means months 1 to 12 from that workspace's first successful payment, per customer. It is not a financial year and it is not tied to a payment-provider subscription identifier, so a customer changing plan or screen count does not reset it.
New screens sold into a customer you already introduced start their own 12-month clock at 20%, limited to the increase above that workspace's highest billed screen count to date. Re-adding a screen that already existed does not reset anything.
4. The commission base and what is excluded
The base is what we actually collect from that customer's per-screen subscription, net of payment-gateway charges and net of any indirect tax. It is computed from the amount the payment provider reports as captured, never from a list price.
Excluded from the base:
- AI credit top-ups;
- the Agency plan's platform fee of ₹2,000 per month, which funds workspace overhead rather than the screen you placed;
- promotional grants, free periods, discounted or ₹1 first periods, and anything else that is not revenue we collected.
A payout is released only for a workspace that has actually had a paired screen running at some point since the charge. We do not pay commission on a screen that was never paired. A customer whose screen goes offline for a while does not cost you anything.
5. How a referral is credited to you
- First touch wins. If a business arrives through your link or enters your code first, it is yours, timestamped. We never use last touch, because last touch is the mechanism by which referrals get stolen.
- The window is 90 days from the first touch.
- The credit binds to the workspace, because billing is per workspace.
- It locks at that workspace's first successful payment and cannot be changed after that, by you, by them, or by us. There is no post-hoc attribution process and no "please add my code" request we can honour, however genuine.
- Accepted link parameters are
ref(canonical), andaff,via,partner,pandfpras aliases. A click identifier you pass through is stored and returned to you unchanged. UTM parameters are recorded for analytics and are never used to decide who gets paid. - Your code carries no discount. It is a tracking code, not a voucher. If we ever issue a discount-bearing code it will be a different string with its own terms.
6. When commission becomes payable
- Commission accrues when we successfully collect a payment, not when someone signs up.
- Every charge is held for 30 days before it becomes payable. That is the window in which a payment can still be reversed.
- An annual charge accrues in twelve equal slices. The first three slices become payable together at day 30 and the remaining nine become payable one a month for the following nine months. All twelve carry the same rate, set by the customer's age when we collected.
- A customer who cancels at the end of their paid period has not been refunded. You keep every remaining slice, because they bought a year and we collected a year.
- A customer who leaves and returns within 180 days by any route re-attaches to you, at the rate their original clock would have reached. After 180 days they are unattributed.
7. Payouts
- Payouts run monthly on the 7th. Everything past its 30-day hold by 23:59 IST on the 6th goes out in that run. If the 7th is a Sunday or a bank holiday, the next working day.
- In practice money reaches you between 31 and 60 days after your customer paid us.
- Payment is by UPI or bank transfer to the account you give us.
- The minimum payout is ₹500. Your first payout has no minimum, however small it is, so that you see a transfer land in your account while the amount is small.
- A balance below the minimum carries forward in full, indefinitely. It never expires and it is never forfeited, including if you stop introducing anyone.
- If your balance is stuck below the minimum, you may ask us to pay out whatever is sitting there, whatever the amount, once in any 12-month period, and always when you close your account.
- We generate your commission statement and, where one is needed, your invoice. You approve it in writing and we pay. You do not have to raise an invoice on us to get paid.
- If we end the program, or end your partnership without cause, everything past its hold is paid at the next run with no minimum.
8. Refunds, chargebacks and clawback
- If a customer is refunded or raises a chargeback within 180 days of a charge, the commission on that charge is reversed at the rate originally applied.
- If it had not yet been paid to you, it is simply removed and you never see it. Any slices of that charge that had not vested never vest.
- If it had already been paid, your balance goes negative by what was actually paid on that charge, and future commission fills the hole before anything else is paid out. The reversal is never more than what you were paid on that specific charge.
- If you never earn again, we write it off. We will not invoice you for a negative balance, we will not send anyone after you, and we will not report it anywhere.
- Chargeback and dispute fees charged to us by a bank or payment provider are ours. They are never deducted from your balance.
9. Tax
- Commission is taxable income in your hands and your own tax affairs are yours.
- Where Indian law requires us to deduct tax at source on commission, we will deduct it, deposit it, issue the certificate, and it will appear in your Form 26AS. We ask for your PAN before your first payout so that the ordinary rate applies rather than the higher no-PAN rate.
- We are confirming the exact rate, threshold and section reference with our chartered accountant and will publish them here before the first payout runs. Until then this clause states the principle, not a number.
- Whether you need a GST registration depends on your own circumstances. We are not qualified to advise you and we do not. Ask your chartered accountant. If you are registered, invoice us with the commission and the GST as two separate lines, because a single combined figure changes how tax at source is computed.
10. What you must do
Disclose that it is a paid link. Every post, video, story, reel, live stream, newsletter, message or listing that carries your code or link must carry a clear label, up front, where it cannot be missed, and in the language of the post. For most partners the right word is Affiliate. In a video it must be visible for long enough to read and it must be in the video itself, not only in the description. In a live stream it must be repeated. In audio it must be spoken.
Indian advertising guidance places this duty on the advertiser as well as on the person posting, so this is not advice from us, it is a condition of the partnership. If we ask you to edit or delete a post that is not compliant, do it promptly. A breach voids commission on the referrals it affected and may end the partnership.
Stick to what is published. You may say what is on the channelos.tv website, what the product does, what you did with it, and what you liked and did not like. Our video titles and social posts are not a claims source.
11. What you must not do
- Make any earnings claim, yours or ours, or publish any figure for what a partner makes.
- Claim that ChannelOS increases a business's sales, footfall, revenue or number of customers.
- Invent a customer, a quotation, a logo, a rating, a review or a count.
- Refer yourself. No commission is payable where the workspace owner's email, or the payer's contact or UPI ID, matches your own records with us.
- Bid on "ChannelOS" or its misspellings in any paid search or ad network, or use them in a display URL.
- Send unsolicited bulk WhatsApp, SMS or email, or post the link where it is against the rules of that forum.
- Impersonate ChannelOS, its support, or its founder, or register a domain, handle or page that a reasonable person would read as official.
- Cloak, mask or redirect the link through a vanity domain that hides where it goes.
- Place the code on a coupon, cashback or deal site as though it were a discount. It is not one.
- Take an export, list or contact detail of any ChannelOS customer, or approach a customer we attributed to you to move them to a competing product.
12. One level only
There is one level and only one. You earn on businesses who pay for screens. You earn nothing from introducing other partners, there is no downline, and we will not add one.
Commission is always paid out to you by transfer. It is never set off against your own ChannelOS subscription, and we never tell a customer, anywhere, on any surface, that referring other businesses will reduce, recover or offset what they pay us. That is the line Rule 7 of the Consumer Protection (Direct Selling) Rules, 2021 draws, and we stay on the right side of it on purpose. No ChannelOS page, advertisement, script or partner material may suggest otherwise, and neither may yours.
13. Your data
- We collect your name, email, mobile number, where you said you would promote ChannelOS, and your page or channel if you gave one. We use them to issue your code and to talk to you about the program. We do not sell them, share them with another company, or use them to advertise anything to you.
- We collect your PAN and bank details only when there is money to pay you, and we use them only to pay you and to meet our tax obligations.
- You can withdraw consent and have all of it deleted at any time by emailing [email protected], including any partner code we issued. It is as easy to withdraw as it was to give.
- You never see any ChannelOS customer's email, phone number or name from us. You see that a referral registered and whether it is paying, and nothing else. This is not negotiable and it protects them, not us.
14. Changing these terms
We may change these terms on 30 days' written notice to the email you gave us. A change to the commission rate applies only to customers you introduce after the notice date. It is never applied retroactively to customers already attributed to you. Each version is published here with its number and date.
15. Ending the partnership
- Either of us may end it on notice, for any reason.
- If you stop introducing anyone, your existing trail survives on the customers already attributed to you, at the ordinary rates, for as long as they keep paying.
- Commission on any referral obtained in breach of clause 11 is void, and we may end the partnership immediately for a breach of clause 10 or 11.
- We may buy out a trail for cash at 18 times the trailing three-month average monthly commission on that trail, at our election, on notice. You may decline.
- If you die, an unpaid balance and any surviving trail pass to the account you nominate in writing.
16. Governing law and grievances
These terms are governed by the laws of India and the courts at Ahmedabad, Gujarat have jurisdiction. Our grievance officer is James Christian, Grievance and Nodal Officer, reachable at [email protected] or through our contact page. We acknowledge complaints within 48 hours and aim to resolve them within 30 days.
